He said the committees have not agreed on terms for any transaction and that there is no guarantee they will. He called a combination \"a good idea,\" then added: \"But it's really up the special committees of both companies.\" The remarks as quoted include no price, structure or timetable.\n\nThe call puts Musk on the record after Barclays published a client note in October suggesting a Tesla-SpaceX combination could be announced.\n\nThe committee detail matters more than the enthusiasm. A special committee is the usual device when one person sits on both sides of a deal: a group of directors negotiates for their own company's shareholders, apart from the executive with the conflict. Here, that executive has just said publicly that he likes the idea. The committees will be judged on whether their process looks independent of that preference.\n\nThere is precedent for Musk-linked combinations drawing scrutiny. Tesla's 2016 purchase of SolarCity, a company tied to Musk, is the obvious comparison, and it is the kind of deal that tends to be examined closely after the fact. A merger of two much larger companies would raise the same questions at far greater scale.\n\nThe open questions are basic ones. Which company would be the buyer? What would shareholders of each be asked to accept?
